释义	法律分析: 法律分析：公司因不能清偿到期债务，无力继续经营，由法院宣告停止营业，进行债权债务清理的状态。中国公司法规定，依法宣告破产的公司，由法院依照有关法律，组织股东、有关机关及有关专业人员成立清算组，对公司进行破产清算。法律依据: 《中华人民共和国企业破产法》第二条企业法人不能清偿到期债务,并且资产不足以清偿全部债务或者明显缺乏清偿能力的,依照本法规定清理债务。企业法人有前款规定情形,或者有明显丧失清偿能力可能的,可以依照本法规定进行重整。
