标准式分立公司法中的规定是什么

法律分析：
标准式公司分立是指母公司将其在某子公司中所拥有的股份，按母公司股东在母公司中的持股比例分配给现有的母公司的股东，从而在法律上和组织上将子公司的经营从母公司的经营中分离出去，形成一个与母公司有着相同股东和持股结构的新公司。
法律依据：
《中华人民共和国公司法》 第十四条 公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
