释义	股东决议事项都不需要全体股东通过，除重大的事项外只需要占表决权二分之一以上的股东通过即可，重大事项需三分之二以上表决权的股东通过。公司是整体对外的，股东也是以自己的出资或股份承担有限责任，对于公司已经通过的决议，股东不同意的也要承担责任。法律依据: 《中华人民共和国公司法》第四十四条第二款股东会会议作出修改公司章程、增加或者减少注册资本的决议，以及公司合并、分立、解散或者变更公司形式的决议，必须经代表三分之二以上表决权的股东通过。
