释义	法律分析：是指债权人在破产申请受理前对债务人负有债务的，可以在破产分配前向管理人主张相互抵销的权利。当事人互负到期债务种类、品质相同的，任何一方可以将自己的债务与对方的债务抵销；种类、品质不相同的，经双方协商一致也可以抵销。法律依据：《中华人民共和国民法典》第五百四十九条有下列情形之一的，债务人可以向受让人主张抵销：（一）债务人接到债权转让通知时，债务人对让与人享有债权，且债务人的债权先于转让的债权到期或者同时到期；（二）债务人的债权与转让的债权是基于同一合同产生。
