释义	解散权是股东的法定权利，是自益权的体现。行使公司解散权，应当满足四个条件：第一、公司经营管理发生严重困难；第二、如果不解散，股东利益受到重大损失；第三、通过其他途径不能解决；第四、股东须持有公司全部股东表决权的百分之十以上。法律依据：《中华人民共和国公司法》第一百零三条股东大会作出修改公司章程、增加或者减少注册资本的决议，以及公司合并、分立、解散或者变更公司形式的决议，必须经出席会议的股东所持表决权的三分之二以上通过。
