法律分析：一、符合自身发展规划。其中，成立三年以内的保险公司设立省级分公司，如与该公司成立时提交的发展规划不一致的，应当说明理由
二、上一年度及提交申请前连续两个季度偿付能力均达到充足类，且上一年度及提交申请前连续两个季度分类监管类别均不低于B类
三、具备良好的公司治理，内控健全，具备完善的分支机构管理制度
四、最近两年内无受金融监管机构重大行政处罚的记录
五、不存在申请人或者其管理人员因工作行为涉嫌重大违法犯罪，正在受到金融监管机构或者司法机关立案调查的情形
六、已设立的省级分公司运转正常，最近两年内没有发生省级分公司市场退出情形，且有符合省级分公司高级管理人员任职条件的筹建负责人
法律依据：《中华人民共和国公司法》 第十四条 公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
