释义	法律分析：公司可以修改公司章程，改变公司名称、住所、经营范围注册资本、法定代表人等，对上述内容的变更均应当办理变更登记，但上述内容的变更不影响公司变更登记之前的债权债务，仍由公司享有和承担。不过，在变更登记后，公司应以书面形式告知公司的原债权人、债务人，以免造成误解，带来不必要的麻烦和纠纷。法律依据：《中华人民共和国公司法》第一百七十四条公司合并时，合并各方的债权、债务，应当由合并后存续的公司或者新设的公司承继。
