释义	法律分析: 设立中的公司既不同于行为人个人的法律地位也不同于法人所具有的独立团体人格，它是一种具有相对人格或不完全团体人格的组织。设立中的公司是在其业务范围内享有权利能力与行为能力，但不具备独立承担责任的能力。法律依据: 《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
