释义	清算组又称破产管理人。在破产宣告后，由法院指定成立的，接收、管理、清理、估价和处理破产人财产的专门组织。法院对债务人作出破产宣告后，债务人即不能对其财产进行经营管理，而法院作为国家司法机关，不便直接对破产人的财产进行管理及变卖清偿权人会议作为一个临时性的机构，仅代表债权人的利益，而不能代表债务人的利益，因此它也不能管理和清算破产人的财产。法律依据：《中华人民共和国民法典》第七十三条法人被宣告破产的，依法进行破产清算并完成法人注销登记时，法人终止。
