释义	法律分析: 一票否决指的是只要有一人投了反对票，无论赞成票有多少，这项决策也不能通过，体现的是全体一致原则了。在联合国安理会常任理事国中，就实行一票否决制。中国就是这个权利拥有者之一。法律依据: 《中华人民共和国公司法》第四十三条股东会的议事方式和表决程序，除本法有规定的外，由公司章程规定。股东会会议作出修改公司章程、增加或者减少注册资本的决议，以及公司合并、分立、解散或者变更公司形式的决议，必须经代表三分之二以上表决权的股东通过。
