释义	对于以房地产进行投资、联营的，投资、联营的一方以土地（房地产）作价入股进行投资或者作为联营条件，将房地产转让到所投资、联营的企业中时，暂免征收土地增值税；以不动产投资入股，参与接受投资方利润分配，共同承担投资风险的行为，不征营业税；公司以其开发建设完毕的不动产作价入股，投资到新设立的生产型企业××公司，与受让公司共担风险、共享利润的行为，既启动了生产项目，盘活了企业资产，又依法可以不予缴纳营业税、暂时免予缴纳土地增值税，在很大程度上减轻了企业税负。
