释义	事业单位重组的，债权人申请对债务人进行破产清算的，在法院受理破产申请后、宣告债务人破产前，债务人或出资额占债务人注册资本十分之一以上的出资人，可以向法院申请重整。原国有企业改成公司时，要清理原有企业的债权、债务。原有企业的债权债务由改组后的公司承担。法律依据：《中华人民共和国公司法》第七条国有企业改建为公司，必须依照法律，行政机构规定的条件和要求，转换经营机制，有步骤地清产核资，界定产权，清理债权债务。
