《中华人民共和国公司法》 第三十四条 规定：“股东抄按照实缴的出资比例分取红利司新增资本时，股东有权优先按照实缴的出资比例认缴出资。但是，全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。”根据企业所得税法及其实施条例的规定：有限公司由A(法人)和B(法人)及C(自然人)出资组成，出资比例为3:3:4，公司章程规定分红比例为4:4:2。
