释义	根据《中华人民共和国公司法》的规定，有限责任公司的注册资本为在公司登记机关登记的全体股东实缴的出资额。公司法规定，有限责任公司的注册资本的最低限额，是由公司的经营活动而规定的。我国公司法规定的有限责任公司注册资本的最低限额为3万。有限责任公司的注册资本，为全体股东认缴股本的总和。这种注册资本由于是一次必须由股东认足，因而始终与公司的发行资本相等，具有确定性。如果公司成立后还需要发行资本，应履行增资的法定程序，相应地对原公司章程的注册资本额进行修改。法律依据《公司法》第二十六条
