问题	企业合并分立后债务怎么办
释义	企业法人分立、合并，它的权利和义务由变更后的法人享有和承担。如果该企业拥有债务的，应该先通知债权人，征求债权人的同意，如果债权人不同意的，应当由债务人提供担保以后，方可转让，否则转让行为对债权人无效。如果企业转让时，企业的资产及债权债务由受转让方全部买断，且出让方与受让方在企业转让合同中明确约定由受让方承担全部债权债务，并到工商登记机关办理了企业变更登记手续，债权人应以受让方为被告，要求其对债务承担责任。法律依据《民法典》第六十七条
