释义	我国《公司法》第33条规定：“公司新增资本时，股东可以优先认缴出资”，《公司法》（修订草案）第34条第2款将这一规定修改为“公司新增资本时，股东有权按照出资比例优先认缴出资，但是，公司章程另有规定的除外”。在关于股份公司的条文中仅有如下规定可以被认为是与股东的新股优先认购权有关的，即《公司法》第138条，公司发行新股，股东大会应当对下列事项作出决议：（1）新股种类及数额；（2）新股发行价格；（3）新股发行的起止日期；（4）向原有股东发行新股的种类及数额。
