释义	为适应资本市场发展实践的需要，根据《破产法》、《证券法》等法律法规，现就破产重整上市公司重大资产重组股份发行定价问题，对《上市公司重大资产重组管理办法》第四十二条作如下补充规定，作为第四十二条第三款：上市公司破产重整，涉及公司重大资产重组拟发行股份购买资产的，其发行股份价格由相关各方协商确定后，提交股东大会作出决议，决议须经出席会议的股东所持表决权的2/3以上通过，且经出席会议的社会公众股东所持表决权的2/3以上通过。关联股东应当回避表决。本规定自2008年11月12日起施行。
