释义	法律分析：新设分立和派生分立的区别是新设分立是将原公司分立成两个或两个以上新的公司，被分立原企业依法注销；新设分立中，原公司的资产由预分立的两个公司重新分配组合；原公司的债权、债务也由预分立的两个公司分别承受。派生分立原公司存续，但主体因股东、注册资本等发生变化而必须进行变更，新公司设立。法律依据：《中华人民共和国公司法》第一百七十五条公司分立，其财产作相应的分割。公司分立，应当编制资产负债表及财产清单。公司应当自作出分立决议之日起十日内通知债权人，并于三十日内在报纸上公告。
