释义	1、股东在涉及公司为其担保事项进行表决时，应当回避，如股东违反这一规定强行参与表决，则构成滥用股东权利；2、有限责任公司股东有查账权，但前提是股东应当有正当的理由，一般为公司的经营活动特别是在财务处理上有损害股东利益之嫌。如果股东为个人经营的目的，以查账为由，窃取公司商业秘密，则构成股东滥用权利；3、公司章程规定公司出售重大资产需股东大会特别决议通过，公司的控股股东无视章程的规定，不经法定程序，强令公司经营层出售该资产，也构成股东权利的滥用。法律依据《公司法》第二十条
