释义	依据我国相关法律的规定，转让股份时，股东履行了出资责任的，对公司的债权债务不承担责任，如果没有履行出资责任的，并且受让人知道原股东没有如实出资的，债权人可以要求受让人或者原股东承担责任。我国《公司法》规定，股东转让其股份，应当在依法设立的证券交易场所进行或者按照国务院规定的其他方式进行。法律依据《公司法》第一百三十八条
