释义	法律分析：债的转移有协议转移和法定转移两种方式。除依法继承和行政命令转移者外，不仅必须由原债务人和新债务人达成协议，而且必须经原债权人同意。债权转移后，一切从属权利都随之转移；债务转移后则相反，一般情况下，从属权利并不随之转移。法律依据：《中华人民共和国民法典》第五百四十五条债权人可以将债权的全部或者部分转让给第三人，但是有下列情形之一的除外：（一）根据债权性质不得转让；（二）按照当事人约定不得转让；（三）依照法律规定不得转让。
