释义	法律分析：在股权转让交易中，股份有限公司的股权转让不需要办理工商登记，有限责任公司则需要办理相应的工商登记。一般情形，股东转让股权的，应当办理股权变更登记，但是，有限责任公司内部股东之间不引起股东名称发生变化的股权转让，无需办理工商变更登记。法律依据：《公司法》第七十三条，依照本法第七十一条、第七十二条转让股权后，公司应当注销原股东的出资证明书；向新股东签发出资证明书，并相应修改公司章程和股东名册中有关股东及其出资额的记载。对公司章程的该项修改不需再由股东会表决。
