释义	控股公司即母公司，是指通过持有某一公司50%以上的股权，或者，虽然没有持股50%以上，但通过协议或人事安排控制其他公司股东会或董事会表决权的公司。被其他公司所控制的公司即该公司的子公司，子公司是独立法人，在法律上独立于母公司，但子公司的经营活动也要受到母公司的控制。法律依据：《公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
