释义	股东代表诉讼，一般是指当公司怠于通过诉讼追究公司机关成员责任或实现其他权利时，由具备法定资格的股东为了维护公司利益，并出于追究这些成员责任或实现这些权利之目的，依据法定程序代表公司提起的诉讼。为了确保董事、监事、高级管理人员违反上述义务后得到追究，更有力地保护公司和股东的利益，我国新《公司法》借鉴了其他国家的立法经验，确立了股东代表诉讼制度。法律依据《公司法》第十七条
