释义	法律分析：权证又称认股证，是一种由政府、银行或公司发行并在交易所上市的金融工具。按照权利行使方式划分可分为认购权证和认沽权证。认购权证给予持有人买入权，认沽权证给予持有人卖出权。法律依据：《上海证券交易所权证管理暂行办法》第二条，本办法所称权证，是指标的证券发行人或其以外的第三人（以下简称发行人）发行的，约定持有人在规定期间内或特定到期日，有权按约定价格向发行人购买或出售标的证券，或以现金结算方式收取结算差价的有价证券。
