注销状态是指：企业已不复存在，丧失法人资格，不能再与他人合作了。公司经营状态一般分为八种：存续、在业、吊销、注销、迁入、迁出、停业、清算。注销需要满足以下两个条件：1.领取营业执照后未开展经营活动(未开业：没报过税开过发票的)2.申请注销登记前未发生债权债务或已将债权债务清算完结(无债权债务)。法律依据:《中华人民共和国公司法》 第一百八十八条 公司注销公司清算结束后，清算组应当制作清算报告，报股东会、股东大会或者人民法院确认，并报送公司登记机关，申请注销公司登记，公告公司终止。
