释义	股权质押人与第三人之间的股权转让协议合法有效。我国合同法、公司法均未规定工商登记是股权转让协议的生效要件。因转让出资的股权而签订的股权转让合同本身应当有效，即合同在债权领域应当发生效力，只是在物权领域其效力无法发生变动。【法律依据】《物权法》第226条规定，以基金份额、股权出质的，当事人应当订立书面合同。以基金份额、证券登记结算机构登记的股权出质的，质权自证券登记结算机构办理处置等级时设立。
