股票和债券的区别？ |

区别：
1、两者的权利不同。债券是债权凭证，债券持有者与债券发行人之间是债权债务关系，债券持有者只可按期获取利息及到期收回本金，无权参与公司的经营决策。
股票是所有权凭证，股票所有者是发行股票公司的股东，股东一般拥有投票权，可以通过选举董事行使对公司的经营决策权和监督权。
2、两者的目的不同。发行债券是公司追加资金的需要，它属于公司的负债，不是资本金。发行股票则是股份公司为创办企业和增加资本的需要，筹集的资金列入公司资本。
3、两者的期限不同。债券一般有规定的偿还期，是一种有期投资。股票通常是不能偿还的，一旦投资入股，股东便不能从股份公司抽回本金，因此，股票是一种无期投资，或称永久投资。
4、两者的收益不同。债券有规定的利率，可获得固定的利息;而股票的股息红利不固定，一般视公司的经营情况而定。
5、两者的风险不同。股票风险较大，债券风险相对较小。
法律依据：《公司法》第一百五十四条、本法所称公司债券，是指公司依照法定程序发行、约定在一定期限还本付息的有价证券。
