释义	法律分析：出资证明书只是一种权利证明,其功能在于表示股东出资,本身并不具有设权效力,因此,出资证明书不是认定公司股东资格的必备要件。法律依据：《中华人民共和国公司法》第二十八条股东应当按期足额缴纳公司章程中规定的各自所认缴的出资额，股东不按照前款规定缴纳出资的，应当向公司足额缴纳。第三十一条有限公司或者股份有限公司成立以后，发现作为出资的非货币财产的实际价额显著低于公司章程所定价额的，应当由交付该出资的股东补足其差额。
