股权转让后未变更登记协议还有效，只要股权转让合同不违反法律禁止转让的规定，就具有法律效力，无论是公司变更登记还是工商变更登记都不是股权转让合同的法定要件。
法律依据：
《中华人民共和国公司法》 第七十三条 依照本法第七十一条、第七十二条转让股权后，公司应当注销原股东的出资证明书，向新股东签发出资证明书，并相应修改公司章程和股东名册中有关股东及其出资额的记载。对公司章程的该项修改不需再由股东会表决。
