释义	股份制改造是指普通企业按照法律规定，改造为股份制有限公司。设立股份有限公司的第一件事情是要确定发起人，由发起人签订设立公司的协议，承担设立公司的责任。发起人在达成设立公司的协议后，可以委托一个发起人办理设立公司的申请手续。《公司法》规定，设立股份有限公司，应当有2个以上发起人，其中须有半数以上在中国境内有住所。发起人可以是自然人，也可以是法人。原有企业作为发起人的，要经原有企业资产所有者的批准。如不以原有企业作为发起人，可以以原有企业投资者作为设立公司的发起人。
