释义	法律分析：外商投资股份公司可采取发起方式或募集方式设立。以发起方式设立的公司，除应符合公司法的条件外，其中至少有1个发起人为外国股东。以募集方式设立的公司，除应符合前款条件，其中至少有一个发起人还应有募集股份和前三年连续盈利的记录。该发起人为中国股东时，应提供其近3年经中国注册会计师审计的财务会计报告。法律依据：《关于设立外商投资股份有限公司若干问题的暂行规定》第五条公司可采取发起方式或者募集方式设立。
