1、根据章程规定作出的股东会、一人有限责任公司股东作出的决定或者董事会决议。 2、新法人的身份证复印件。（如为特殊行业，需股东任职资格证明） 3、《企业变更（改制）登记（备案）申请书》（内含《企业变更(改制)登记申请表》、《变更后单位投资者（单位股东、发起人）名录》、《变更后自然人股东（发起人）、个人独资企业投资人、合伙企业合伙人名录》、《变更后投资者注册资（注册资金、出资额）缴付情况》、《企业法定代表人登记表》、《董事会成员、经理、监事任职证明》、《企业住所证明》等表格。请根据不同变更事项填妥相应内容）； 4、《指定（委托）书》； 5、《企业法人营业执照》正、副本； 6、提供新法人的照片（一寸2张）、身份证明、履历表。

《个体工商户登记管理办法》
第三条 个体工商户的注册、变更和注销登记应当依照《个体工商户条例》和本办法办理。申请办理个体工商户登记，申请人应当对申请材料的真实性负责。
第十五条 申请个体工商户变更登记，应当提交下列文件：
（一）申请人签署的个体工商户变更登记申请书；
（二）申请经营场所变更的，应当提交新经营场所证明；
（三）国家市场监督管理总局规定提交的其他文件。
