释义	法律分析：可转债是本来发行的是债券，但是如果债券到期，可以不用偿还，直接给公司股票。一种变相增发而已。可转换债券是债券的一种，可以转换为债券发行公司的股票，通常具有较低的票面利率。法律依据：《可转换公司债券管理暂行办法》第二十二条发行人应当在可转换公司债券上市前5个工作日内，将上市公告书刊登在中国证监会指定的至少一种全国报刊上，并将上市公告书置备于发行人所在地，拟上市的证券交易所，证券经经营机构的营业场所，供公众查阅，同时报中国证监会备查。
