释义	国有独资公司的设立方式主要有改建(改制)设立和新建(投资)设立两种。实践中普遍采取的是改建设立方式，即原有的国有企业依法改建为国有独资的有限责任公司，如《公司法》第7、21条的规定，不过，至今还没有出台关于国有企业改建为国有独资公司的实施步骤和具体办法。新建设立方式是指国家投资者单独重新投资设立的国有独资的有限责任公司，如《公司法》第20条的规定。国家可以按照发展特定产业、生产提供特殊产品的需要，通过投资开办国有独资公司，直接实现国家产业政策，合理配置社会经济资源。
