合作伙伴退股如何退 |

有合伙人退股就必须要进行清算。合伙人退股的，其他合伙人应当与准备退股的合伙人即退伙人按照退伙时的合伙企业财产状况按照退货人的持股比例退还退伙人的财产份额。退伙人对给合伙企业造成的损失负有赔偿责任的，相应扣减其应当赔偿的数额，对于退股财产退还方式，可以经合伙协议或全体合伙决定，退还货币或实物。同时退伙人退伙了，并不代表与合伙企业自此没有关联，按照相关法律规定，普通合伙人退股的对于退伙前形成的债务，承担无限连带责任；埋穗有限合伙人退伙，基于退伙前的债务，以退伙时从有限合伙企枯液唤业取回的财产承担责任。

《中华人民共和国合伙企没凯业法》 第五十一条 合伙人退伙，其他合伙人应当与该退伙人按照退伙时的合伙企业财产状况进行结算，退还退伙人的财产份额。退伙人对给合伙企业造成的损失负有赔偿责任的，相应扣减其应当赔偿的数额。退伙时有未了结的合伙企业事务的，待该事务了结后进行结算。
