债权人与股东的区别

释义

法律主观：

    债权人和股东的区别：
    1、股东拥有的是所有权，债权人拥有的是债权；
    2、股东不能退股，只能转让。债权到期后，债权人可以向债务人请求偿还；
    3、股东可以参与公司决策，债权与决策权无关；
    4、股东可以享受分红，债权人最多只有利息。

    民事主体依法享有债权。债权是因合同、侵权行为、无因管理、不当得利以及法律的其他规定，权利人请求特定义务人为或者不为一定行为的权利。
