释义	有限责任公司的股东没有单双数的限制，只有总人数的限制。股东只有一人的（包括法人），注册资金必须10万以上，超过一人的，注册资金3万就可以，股东人数超过200人，就必须改成“股份有限公司”，注册资金500万起。所谓单双数的问题更多是在董事会里体现，也不是法定的，只是为了董事会按人数表决的时候不容易出现平局而已。现在很少董事会按人头投票了，大多是按股本比例表决，所以单双数的限制没任何意义。《公司法》第二十四条股东人数有限责任公司由五十个以下股东出资设立。
