法律分析：一般情况下，开发商从国家手里拍卖取得土地使用权，就需要按照规定缴纳土地出让金。很显然，此时的土地出让就是由获得土地使用权的一方承担，也就是这里的开发商。2、在二手房交易中，作为购房者此时也需要缴纳土地收益金，也就是这里的土地出让金。
法律依据：《城市房地产管理法》 第四十条 以划拨方式取得土地使用权的，转让房地产时，应当按照国务院规定，报有批准权的人民政府审让的，应当由受让方办理土地使用权出让手续，并依照国家有关规定缴纳土地使用权出让金。
