在法律上，子公司具有独立法人地位，它有自己的公司名称和公司章程，并以自己的名义进行经营活动，其财产和母公司的财产彼此独立。在法律责任上，子公司和母公司也各以自己所有财产为限承担各自的法律责任，互不连带。母公司破产可能导致子公司可能的结果：一，母公司破产可能导致子公司解散清算。因为母公司占有子公司的多数甚至全部股份，母公司可通过召开子公司的股东会或者股东大会，依照法定程序解散子公司，对子公司的财产和债权债务关系进行清理、处分和分配，以了结其债权债务关系，消灭子公司法人资格，收回子公司的剩余财产用以破产清算。二，母公司的破产并不必然导致子公司归于消灭。母公司可将其对子公司拥有的股份在评估基础上进行转让，转让所得纳入破产财产，但子公司的法人资格仍然保留，子公司的股权结构发生变动。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
