股本和实收资本的区别
释义
法律分析：
实收资本不可以大于注册资本。二者的区别如下：
公司的实收资本是全体股东或者发起人实际交付并经公司登记机关依法登记的出资额或者股本总额。注册资本是你在工商局登记注册时的法定资本金，它在资产负债表中就用“实收资本”表示，如果足额到位，实收资本册资本，如果未足额到位，则以实际到位值表示。
法律依据：
《企业法人登记管理条例施行细则》 第三十一条 注册资金数额是企业法人经营管理的财产或者企业法人所有的财产的货币表现。除国家另有规定外，企业的注册资金应当与实有资金相一致。
