释义	法律分析: 总公司可以撤销分公司，只要总公司召开股东大会作出解散决议即可，分公司与总公司属同一法人实体，其生产、销售、财务以及人事等方面受总公司支配和控制。分公司的民事责任由公司承担。分公司没有法定代表人，只有负责人。《中华人民共和国公司法》第三条公司是企业法人，有独立的法人财产，享有法人财产权。公司以其全部财产对公司的债务承担责任。有限责任公司的股东以其认缴的出资额为限对公司承担责任；股份有限公司的股东以其认购的股份为限对公司承担责任。
