释义	法律分析：自然人股东死亡后，其合法继承人并不当然继承股东资格，是否取得股东资格，根据由公司章程决定。如果在自然人股东死亡之前，公司章程明确规定禁止股东继承人取得股东资格，股东继承人则不能依法获得股东资格，而只能继承原股东在公司所享有的财产权利。法律依据：《中华人民共和国公司法》第七十五条 “自然人股东死亡后，其合法继承人可以继承股东资格是，公司章程另有规定的除外。”本法条是关于有限责任公司自然人股东死亡后其合法继承人继承股东资格的规定。
