公司非法经营如构成 非法经营罪 ，则根据《刑法》第二百二十五条的规定，扰乱市场秩序，情节严重的，处五年以下有期徒刑或者拘役，并处或者单处违法所得一倍以上五倍以下罚金； 情节特别严重 的，处五年以上有期徒刑，并处违法所得一倍以上五倍以下罚金或者没收财产。《企业法人登记管理条例实施细则》第二十一条规定，登记主管机关根据申请单位的申请和所具备的条件，按照国家法律、法规和政策以及规范化要求，核准经营范围和经营方式。企业必须按照登记主管机关核准登记注册的经营范围和经营方式从事经营活动。
